Terms of Service

Please read these terms carefully before using our platform.

Welcome to Fanz. These Terms of Service ("Terms") constitute a legally binding agreement between you and Fanz LLC, a Delaware limited liability company ("Company," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

IMPORTANT: THIS AGREEMENT CONTAINS A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER IN SECTION 18. PLEASE READ CAREFULLY.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) to use the Platform. By using the Platform, you represent and warrant that:

  • You meet the minimum age requirement
  • You have the legal capacity to enter into binding agreements
  • You are not prohibited from using the Platform under applicable laws
  • You are not located in, or a citizen or resident of, any country subject to U.S. trade sanctions or embargoes
  • You are not on any U.S. or applicable government restricted parties list

2. The Platform

Fanzis an AI companion platform that enables users ("Fans") to interact with AI-generated characters ("Companions") through messaging, AI-generated images, video calls, and other content. Creators can build and manage AI Companions on the Platform. All characters on the Platform are entirely AI-generated and fictional. They are not real people.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We make no guarantees regarding availability, functionality, uptime, accuracy, or the behavior of AI-generated content. AI outputs may be unpredictable, inaccurate, or inappropriate.

AI-generated content is not professional advice. Do not rely on AI-generated content for medical, legal, financial, psychological, or any other professional guidance. Always consult qualified professionals.

3. Account Registration

To use certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information
  • Keep your login credentials secure and confidential
  • Not share your account or credentials with others
  • Not create multiple accounts
  • Accept responsibility for all activities under your account, whether or not authorized by you

We reserve the right to reject, suspend, or terminate any account at our sole discretion.

4. Credits and Payments

CREDITS ARE DIGITAL TOKENS FOR USE SOLELY WITHIN THE PLATFORM. THEY ARE NOT CURRENCY, HAVE NO CASH VALUE, AND CANNOT BE EXCHANGED FOR CASH EXCEPT AS EXPRESSLY PROVIDED FOR CREATOR PAYOUTS.

  • Credit pricing, packages, and exchange rates may change at any time
  • ALL CREDIT PURCHASES ARE FINAL AND NON-REFUNDABLE, except where required by applicable law
  • Credits cannot be transferred between accounts
  • Credits may be forfeited upon account termination or Platform discontinuation
  • Unused Credits have no expiration unless your account is terminated
  • We are not liable for loss of Credits for any reason, including technical issues, fraud, or unauthorized access

Cryptocurrency and Payment Processing: We use third-party payment processors for fiat and cryptocurrency transactions. By making purchases, you agree to the terms of our payment processors. We do not store or have access to your complete payment card information. For cryptocurrency transactions, you acknowledge the inherent volatility and risks of digital assets.

5. Creator Accounts and Earnings

Creators earn Credits through Fan interactions including messages, calls, content sales, tips, and gifts. Revenue share percentages are determined by the Company and may change at any time with notice.

IMPORTANT CREATOR PAYOUT TERMS:

  • Payouts are subject to minimum thresholds, review periods, and verification requirements
  • The Company may hold, delay, reduce, or cancel payouts for any reason, including suspected fraud, chargebacks, Terms violations, legal compliance, or investigation
  • Holds may be indefinite pending resolution of any issues
  • Earnings may be forfeited upon Terms violation, account termination, or Platform discontinuation
  • Credit-to-currency conversion rates are set by the Company and may differ from Fan purchase rates
  • The Company may deduct chargebacks, refunds, and fees from Creator balances

THE COMPANY DOES NOT GUARANTEE THAT CREATORS WILL RECEIVE ANY PAYMENT. You acknowledge and accept the risk of not receiving some or all anticipated earnings.

Creators are independent contractors, not employees. You are solely responsible for all applicable taxes, including income tax, self-employment tax, VAT, and any other taxes in your jurisdiction. You agree to provide accurate tax information upon request.

6. Fan Accounts

Fans use Credits to interact with AI Companions, including messaging, content unlocks, AI-generated images, video calls, and gifts. All transactions are final. Spending Credits grants a limited, non-exclusive, non-transferable, revocable license to view content—not ownership.

All Companions are AI-generated fictional characters. We make no guarantees about any Companion's availability, response quality, personality consistency, or continued presence on the Platform. Companions may be modified or removed without notice.

7. Prohibited Content and Conduct

You agree NOT to:

  • Create, upload, request, or distribute any content depicting, suggesting, or involving minors in any sexual or inappropriate context—this is strictly prohibited and will result in immediate termination and reporting to authorities
  • Create non-consensual intimate imagery (deepfakes) of real people without explicit consent
  • Create content depicting real people (celebrities, public figures, private individuals) without authorization
  • Create content promoting violence, terrorism, self-harm, or illegal activities
  • Upload content that infringes intellectual property rights of others
  • Generate content that violates payment processor acceptable use policies

Prohibited Conduct:

  • Violate any applicable laws or regulations
  • Harass, abuse, threaten, or intimidate other users
  • Impersonate any person or entity
  • Engage in fraud, deception, or misleading conduct
  • Attempt to circumvent Platform features, security measures, or payment systems
  • Use automated systems, bots, scripts, or scrapers without authorization
  • Facilitate off-platform transactions to avoid Platform fees
  • Share account credentials or operate multiple accounts
  • Reverse engineer, decompile, or extract our AI models or algorithms
  • Use Platform content to train competing AI models without authorization
  • Interfere with Platform operations or other users' experience
  • Misrepresent AI-generated content as human-created

Violation of these prohibitions may result in immediate account termination, forfeiture of Credits and earnings, and reporting to law enforcement where applicable.

8. Intellectual Property

Platform IP: The Platform, including its AI models, algorithms, software, design, logos, and trademarks, are owned by or licensed to the Company. You receive no ownership rights to any Platform IP.

Creator Content: Creators retain rights to their original character designs, configurations, and uploaded content, but grant us a worldwide, royalty-free, sublicensable license to use, display, reproduce, modify, and distribute such content on and in connection with the Platform.

AI-Generated Content: Content generated by AI on the Platform may have limited or no copyright protection under applicable law. You receive a limited license to use AI-generated content for personal, non-commercial purposes. Commercial use requires separate authorization.

We may remove any content at any time without notice or liability.

9. Digital Millennium Copyright Act (DMCA)

We respect intellectual property rights and respond to valid DMCA takedown notices. If you believe content infringes your copyright, send a notice to support@fanz.com including:

  • Identification of the copyrighted work and the allegedly infringing material
  • Your contact information
  • A statement that you have a good faith belief the use is not authorized
  • A statement under penalty of perjury that the information is accurate and you are authorized to act
  • Your physical or electronic signature

Repeat infringers will have their accounts terminated.

10. Account Access and Staff

The Platform offers various account types with different permissions. Creators may grant staff members delegated access to their accounts, including the ability to view and send messages on behalf of the Creator.

If you grant account access to third parties, you assume all risk and responsibility for their actions. We are not liable for actions taken by authorized staff members.

11. Third-Party Services

The Platform integrates with third-party services including payment processors, AI providers, hosting services, and analytics. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services, their availability, accuracy, or conduct.

Links to external websites are provided for convenience only. We do not endorse or assume responsibility for third-party content or services.

12. Termination

WE MAY SUSPEND OR TERMINATE ANY ACCOUNT AT ANY TIME, FOR ANY REASON OR NO REASON, WITH OR WITHOUT NOTICE, AT OUR SOLE DISCRETION.

Upon termination:

  • Your access ends immediately
  • All Credits are forfeited without compensation
  • Pending Creator earnings may be forfeited
  • Your content may be deleted
  • Certain provisions of these Terms survive termination

We are not liable for any termination. You may terminate your account at any time by contacting support@fanz.com, but no refunds will be provided for unused Credits.

13. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Platform will be uninterrupted, secure, or error-free
  • AI-generated content will be accurate, appropriate, or consistent
  • Defects will be corrected
  • The Platform will meet your requirements or expectations

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

We are not liable for:

  • Loss of Credits, earnings, or anticipated revenue
  • Payout delays, failures, or deductions
  • Conduct of other users or third parties
  • User-generated or AI-generated content
  • Unauthorized access to your account
  • Platform interruptions, modifications, or discontinuation
  • Cryptocurrency volatility or blockchain failures
  • Third-party service failures

Some jurisdictions do not allow limitation of certain damages; in such jurisdictions, our liability is limited to the maximum extent permitted.

15. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your content or conduct
  • Any dispute between you and another user

16. Assumption of Risk

By using the Platform, you acknowledge and accept that:

  • You may lose money spent on Credits
  • Credits may become worthless if the Platform shuts down
  • Creator payouts are not guaranteed
  • The Platform may be modified or discontinued at any time
  • AI-generated content may be inaccurate, offensive, or unexpected
  • Companions are fictional AI characters, not real people
  • Your content may be copied or misused by others
  • Cryptocurrency transactions carry inherent risks
  • We may change any aspect of the Platform without notice

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Subject to the arbitration provision below, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any disputes not subject to arbitration.

18. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Binding Arbitration: Any dispute, claim, or controversy arising from or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Delaware or, at your election, remotely via video conference.

Class Action Waiver: YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING.

Exceptions: Either party may bring claims in small claims court if eligible. Either party may seek injunctive relief in court for intellectual property infringement.

Opt-Out: You may opt out of this arbitration provision by sending written notice to support@fanz.com within 30 days of first accepting these Terms. Opting out does not affect other provisions of these Terms.

19. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, pandemics, government actions, labor disputes, internet or infrastructure failures, third-party service outages, or cyberattacks.

20. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Platform.

Severability: If any provision is found unenforceable, it shall be modified to the minimum extent necessary to be enforceable, and remaining provisions shall continue in effect.

No Waiver: Our failure to enforce any provision shall not constitute a waiver of that or any other provision.

Assignment: You may not assign or transfer these Terms. We may assign our rights and obligations without restriction.

Electronic Communications: By using the Platform, you consent to receive electronic communications from us. You agree that all agreements, notices, and disclosures provided electronically satisfy any legal requirement that such communications be in writing.

Export Compliance: You agree to comply with all applicable export control laws and regulations. You will not export or re-export the Platform or any related technology to prohibited destinations, entities, or persons.

21. Changes to Terms

We may modify these Terms at any time by posting the revised Terms on the Platform. Material changes will be notified via email or Platform notice. Your continued use after changes become effective constitutes acceptance. If you do not agree to modified Terms, you must stop using the Platform.

22. Age Confirmation

BY USING THE PLATFORM, YOU CONFIRM THAT YOU ARE AT LEAST 18 YEARS OLD (OR THE AGE OF MAJORITY IN YOUR JURISDICTION, WHICHEVER IS HIGHER).

We do not knowingly allow access to minors. If we learn that a minor has created an account, we will terminate it immediately.
